These Terms of Use (“Terms”) govern the access or use by you, an individual or company, from within any country in the world of our applications and websites (the “Site and Application”) made available by Good Food Scout Ltd, (“Good Food Scout”). What We Do

Good Food Scout provides an online platform that connects Suppliers who have produce, products, food and beverages available for purchase to Buyers (collectively, the "Services"). The Services are accessible at www.goodfoodscout.com and any other websites through which Good Food Scout makes the Services available (collectively, the "Site") and as applications for mobile devices (the "Application"). Suppliers list the products available for supply and the price on the Site or Application (“Product Availability Lists”). Good Food Scout may act as the limited payment collection agent of each Supplier for the purpose of accepting payments from Buyers on behalf of the Supplier. By registering as a purchaser or supplier you become a member of Good Food Scout (“Member”). Good Food Scout cannot and does not control the content contained in any of the Suppliers’ Product Availability Lists nor the condition, legality or suitability of any processing facility, storage depot or food. Good Food Scout is not responsible for and disclaims any and all liability related to any and all food sold. Any food sold or purchased will be made or accepted at the member's own risk. You understand and agree that Good Food Scout is not a party to any agreements entered into between Suppliers and Buyers, nor is Good Food Scout an agent, restaurant, café, caterer or any other provider of food or food related services. Good Food Scout has no control over the quality or quantity of food supplied, the conduct of Suppliers, Buyers and other users of the Site and Application, and disclaims all liability in this regard to the maximum extent permitted by law.

This website is operated by Good Food Scout. Throughout the site, the terms “we”, “us” and “our” refer to Good Food Scout. Good Food Scout offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. The Company is not responsible for the content of the Service's users. You expressly understand and agree that You are solely responsible for the Content and for all activity that occurs under your account, whether done so by You or any third person using Your account. Defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups. Spam, machine - or randomly - generated, constituting unauthorised or unsolicited advertising, chain letters, any other form of unauthorised solicitation, or any form of lottery or gambling. Containing or installing any viruses, worms, malware, trojan horses, or other content that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware or telecommunications equipment or to damage or obtain unauthorised access to any data or other information of a third person. Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity or other rights. Impersonating any person or entity including the Company and its employees or representatives. Violating the privacy of any third person. False information and features.

Use of data

In the course of our operation we collect data from buyers and merchants. You accept that your personal data may be shared between buyers and merchants for the sole purpose of facilitating the sale, purchase and fulfilment of orders on the website as per our Privacy Policy. Merchants agree to fully comply with the General Data Protection Regulation and use buyers’ information solely for the purpose of completing transactions and not store buyers’ data subsequently or pass it on to third parties. Please review our Privacy Policy in full for details on how your personal data is used.

Limitation of Liability and Indemnity

You expressly understand and agree that Good Food Scout (including our subsidiaries, and affiliates, and our and their officers, directors, agents and employees) shall not be liable, and you agree not to hold us responsible, for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the Service, Site and any and all features and applications in connection with the Service and Site, including but not limited to any damages or losses resulting directly or indirectly from: i. Your use of or your inability to use the Site, Services, applications and tools; ii. Delays or disruptions in the Site, Services, applications or tools; iii. Viruses or other malicious software obtained by accessing the Site, Services, applications or tools or any site, applications or tools linked to our Site, Services, applications or tools; iv. Glitches, bugs, errors, or inaccuracies of any kind in the Site, Services, applications and tools or in the information and graphics obtained from them; v. Damage to your hardware device(s) or loss of data that results from the use of our Site, Services, applications and tools; vi. The content, actions, inactions or omissions of a Potential Buyer, a Seller Merchant or any other third party; vii. Any use or misuse of information, personal information or confidential information, including but not limited to any personal information that is relating to a customer or personal or confidential information that you share with a Seller Merchant, a Potential Buyer or any other third party; viii. Any Store listed on the Site that you sell or purchase, including without limitation the content, performance or legality of the Store or any third party obligations or agreements in connection with the Store; or ix. Any interaction, transaction or dispute between a Seller Merchant and a Potential Buyer, including without limitation any disputes relating to the account transfer process for a Store or any refunds or charges.

Force majeure

Where we or a Seller are prevented from or delayed in carrying out obligations under these Customer Terms due to circumstances beyond our or the Seller's reasonable control including, without limitation, acts of God, governmental actions, war or national emergency, riot, civil commotion, fire, explosion, flood, inclement weather, epidemic, lock-outs, strikes or other labour disputes (whether or not relating to the Seller's workforce), or restraints or delays affecting carriers or an inability or delay in obtaining supplies of adequate or suitable materials then either our or the Seller's (as the case may be) performance of its obligations shall be postponed for the period of time that the circumstances continue.

Errors, Inaccuracies and Omissions

Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order). We undertake no obligation to update, amend or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated.


Supplier’s Responsibilities

As a Supplier, you are responsible for all aspects of food preparation, health and safety compliance, certifications, compliance with laws, customer service and service delivery. You acknowledge and agree that, as a Supplier, you are responsible for your own representations, acts and omissions and are also responsible for the representations, acts and omissions of any individuals who may assist in the preparation and delivery of food and creation of available products or who may assist in any other way that arises out of or relates to the use of this Site and Application or the supply of product. Both Buyers and Suppliers agree to cooperate with and assist Good Food Scout in good faith, and to provide Good Food Scout with such information and take such actions as may be reasonably requested by Good Food Scout, in connection with any complaints or claims made by Members relating to the provision of the Supplier’s services or food.

Intellectual property

By listing on the website, you grant us, our affiliates and marketing partners a non-exclusive, worldwide, royalty-free right to exercise all copyright, database rights and rights of publicity over the material displayed in your product information and listings that you provide to us in any existing media now or in the future.

Fees

The commission fee which will be charged is for the gross amount per order which includes the product price and your shipping costs if any are charged. We reserve the right to change the commission rate giving the supplier 14 days notice. By having products listed on the site the supplier agrees to pay all such applicable fees.

Payments

Good Food scout uses Stripe Payments Europe as it’s payment processor. All customer payment details card number, expiry date, name and cvc are processed on Stripe’s servers and not on the Good Food Scout site. Payments will be made to suppliers at the start of the month for the previous month’s sales. These will be net of our commission and any refunds, referral or other charges which have taken place.

Order Delivery

You are responsible for the goods until they reach the consumer or someone they have nominated to accept delivery on their behalf, this means you are liable for non-delivery or any damages even if this is the fault of the courier.

Refunds and Returns

Product refunds will be handled in accordance to our Refunds and Returns policy. This sets out rights a customer has under the Consumer Contracts Regulations. Should your company offer more generous terms, these should be listed in the Returns tab of the product. Communication with the customer regarding returns, cancellations, faulty goods or missing orders must only be carried out on the Good Food Scout site portal for Returns.

Taxes

The Supplier is responsible for ensuring that the products which are available on the Good Food Scout site include notification of all applicable taxes for the product and shipping, including customs and excise duty, VAT and any other applicable taxes. You agree that you are responsible for the accounting of all taxes due in relation to the sale of your products on our website.

Reviews

Customers are invited to leave a review of the product they have purchased. This can only be done by logging into their customer account and writing a review for a specific order. Customers agree to give an accurate representation of the product and service received for that order. Occasionally, we will undertake checks of the content that has been posted. Should we find any reviews which, in our absolute discretion, are malicious, defamatory, illegal, or offensive, then we reserve the right to immediately remove such posts without notice. Suppliers acknowledge and accept that your product’s reviews and ratings will be publicly available for viewing on the Site. We are not responsible for checking or editing the reviews and ratings on the Site nor it’s contents.

Termination

Good Food Scout retains the right to cancel a Suppliers account at any time without reason and without any future obligations.
